Terms of Service

By accessing or using Reelry (“the Service”), operated by Health3 AG, a company incorporated in Switzerland with its registered office at Wiesenstrasse 10A, 8952 Schlieren, Switzerland, Swiss VAT number CHE-396.908.066 MWST (“Health3 AG”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

Reelry is an AI-powered platform that generates short-form video content (reels) for social media platforms including TikTok, Instagram Reels, and YouTube Shorts. The Service includes video generation, downloads, scheduled generation, and posting reminders. You review and publish the exported video through your chosen social or advertising platform.

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to use the Service.
• One person or legal entity may not maintain more than one free account.

New purchases and plan changes are paused while we move to a new payment provider. Purchases made up to 4 October 2026 were processed by Polar Software, Inc. ("Polar"), which acted as our Merchant of Record for those transactions (see Section 5).

• No renewals. Subscriptions bought before the pause were cancelled with effect from the end of their current billing period. They do not renew and no further charges are made. You do not need to cancel anything.
• For purchases made up to 4 October 2026, Polar calculated and collected all applicable sales tax, VAT, and GST on your behalf.
• Credits already in your account stay available and usable while purchases are paused, including after your subscription period ends. No new credits are granted during the pause.
• Top-up credits never expire and carry over indefinitely.
• When purchases resume, we will update these Terms to name the payment provider and notify existing customers before any new purchase is possible.

For purchases made up to 4 October 2026:

• Polar was the seller - your purchase agreement for the payment transaction is between you and Polar. Polar's Terms of Sale and Privacy Policy apply to those payment transactions.
• Tax compliance - Polar calculated, collected, and remitted all applicable sales tax, VAT, and GST.
• Invoicing - Polar issued all receipts and invoices. You can still access them from the Billing page in your dashboard.
• Refunds & chargebacks - refund requests are processed by Polar in accordance with their refund policy and our refund policy (see Section 6). Chargeback disputes are handled directly by Polar.
• Currency - Polar may have charged you in your local currency at exchange rates it determined at the time of purchase.

Health3 AG provides the Reelry service, platform access, and customer support. Polar handled the commercial transaction, payment processing, tax compliance, and financial record-keeping for those purchases.

• Finished reel generation requires credits purchased through a one-time pack or subscription.
• Refunds are not guaranteed. They may be granted at our discretion - in particular for technical failures on our side. Contact support@reelry.app; approved refunds are processed through Polar for purchases made up to 4 October 2026.
• Renewal and top-up refund requests are assessed under our Refund Policy and applicable consumer law. Buying or receiving credits does not by itself waive statutory rights.
• The monetary refund and the removal of unused credits are separate. When a refund is processed, unused credits from the refunded purchase may be reclaimed. Faulty or undelivered services remain subject to applicable remedies.

You retain your rights in the material you provide. To the extent we hold transferable rights in the generated output, we grant them to you for personal and commercial use, subject to these Terms. You authorize us and our service providers to process your inputs and outputs to operate and support the Service. Public sharing and use in our marketing are separate choices you can withdraw in the app or through support.

Reelry uses AI to generate video scripts, illustrations, animation, and voiceovers from your prompts. AI output is probabilistic and may occasionally produce inaccurate, off-brand, biased, or policy-violating material. You are solely responsible for reviewing every reel before publishing and for ensuring it complies with your brand standards, applicable law, and the community guidelines of the platforms where you post it (including TikTok, Instagram, YouTube, and any other destination).

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, sexually explicit, or otherwise objectionable.
• Publish content that violates TikTok, Instagram, YouTube, or any other destination platform's community guidelines, terms of service, or advertising policies.
• Impersonate a real person (including a celebrity, politician, influencer or private individual), create deceptive synthetic performances of identifiable people, or misrepresent identity, affiliation or endorsement. Reelry does not offer face swapping or personal voice cloning.
• Generate content that infringes intellectual-property rights (including copyrighted characters, trademarks, logos, or likenesses you do not have the right to use).
• Generate medical, legal, financial, or similarly regulated advice presented as authoritative guidance without the disclaimers and qualifications your jurisdiction requires.
• Attempt to reverse engineer, decompile, or disassemble the Service or its underlying AI providers.
• Use the Service to generate spam, unsolicited content at scale, deceptive advertising, or synthetic content that impersonates news reporting.

We may suspend or terminate your account, and decline to generate, for any content that we reasonably believe violates this section or Polar's Acceptable Use Policy.

Reelry is provided “as is” without warranties of any kind, either express or implied. To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
• Our total aggregate liability is limited to the amount you paid to Reelry (through Polar) in the 12 months preceding the claim.
• We do not guarantee uninterrupted or error-free operation of the Service.
• Payment-related disputes about purchases made up to 4 October 2026, including billing errors and chargebacks, are handled by Polar as the Merchant of Record. Health3 AG is not liable for payment processing issues managed by Polar.

• We may suspend or terminate your account for violations of these Terms with or without notice.
• You may delete your account at any time.
• Upon termination, your data will be permanently deleted within 30 days.
• Any subscription still running from a purchase made up to 4 October 2026 is cancelled through Polar upon account termination. No further charges will be made.
• Sections 7, 10, and 12 survive termination of these Terms.

These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any disputes arising out of or in connection with these Terms is Zurich, Switzerland, except where mandatory consumer protection laws of your country of residence provide otherwise. Consumers retain the right to bring proceedings in the courts of their country of residence where applicable law so provides.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
