Terms of Service

By accessing or using Reelry (“the Service”), operated by Health3 AG, a company incorporated in Switzerland with its registered office at Wiesenstrasse 10A, 8952 Schlieren, Switzerland, Swiss VAT number CHE-396.908.066 MWST (“Health3 AG”, “we”, “us”, or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

Reelry is an AI-powered platform that generates short-form video content (reels) for social media platforms including TikTok, Instagram Reels, and YouTube Shorts. The Service includes video generation, scheduling, and publishing features.

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to use the Service.
• One person or legal entity may not maintain more than one free account.

Paid plans are billed monthly or annually. All payments are processed by Polar Software, Inc. ("Polar"), which acts as our Merchant of Record for all paid transactions. See Section 5 below for details on Polar's role.

• Automatic renewal. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected at checkout) at the then-current price for your plan, charged to your original payment method, until you cancel. You will receive a receipt for each renewal from Polar.
• Prices are displayed inclusive or exclusive of tax depending on your location. Polar calculates and collects all applicable sales tax, VAT, and GST on your behalf.
• You may cancel your subscription at any time by signing in and going to Settings → Billing → Cancel subscription, or by using the cancellation link included in any Polar receipt. Cancellation takes effect at the end of your current billing period; you retain access until then and no further charges will be made.
• If we plan to change the renewal price of your subscription, we will notify you by email at least 30 days before the change takes effect so you can cancel if you do not wish to continue at the new price.
• Subscription credits refresh each billing cycle and do not roll over.
• Top-up credits never expire and carry over indefinitely.
• Plan downgrades take effect at the end of the current billing period.

Polar Software, Inc. acts as the Merchant of Record for all paid subscriptions and one-time purchases made through Reelry. This means:

• Polar is the seller - your purchase agreement for the payment transaction is between you and Polar. Polar's Terms of Sale and Privacy Policy apply to all payment transactions.
• Tax compliance - Polar handles the calculation, collection, and remittance of all applicable sales tax, VAT, and GST worldwide.
• Payment methods - Polar supports credit/debit cards, PayPal, Apple Pay, Google Pay, and other local payment methods depending on your region.
• Invoicing - Polar issues all receipts and invoices for your purchases. You can access these from the Billing page in your dashboard.
• Refunds & chargebacks - refund requests are processed by Polar in accordance with their refund policy and our money-back guarantee (see Section 6). Chargeback disputes are handled directly by Polar.
• Currency - Polar may charge you in your local currency. Exchange rates are determined by Polar at the time of purchase.

Health3 AG provides the Reelry service, platform access, and customer support. Polar handles the commercial transaction, payment processing, tax compliance, and financial record-keeping.

• New accounts receive a free plan with a limited number of credits each month. No payment information is required.
• Paid plans include a 7-day money-back guarantee. If you are not satisfied, contact us within 7 days of your initial purchase and we will process a full refund through Polar.
• The money-back guarantee applies to the first payment on a new subscription only. Renewals and top-up credit purchases are non-refundable except where required by applicable law.
• Credits that have already been consumed to generate reels are considered delivered services. When a refund is processed, only unused credits are reclaimed from your account.

You retain ownership of all content you create using Reelry. By using the Service, you grant Reelry a limited license to process your content solely for the purpose of generating videos.

Reelry uses AI to generate video scripts, illustrations, animation, and voiceovers from your prompts. AI output is probabilistic and may occasionally produce inaccurate, off-brand, biased, or policy-violating material. You are solely responsible for reviewing every reel before publishing and for ensuring it complies with your brand standards, applicable law, and the community guidelines of the platforms where you post it (including TikTok, Instagram, YouTube, and any other destination).

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, sexually explicit, or otherwise objectionable.
• Publish content that violates TikTok, Instagram, YouTube, or any other destination platform's community guidelines, terms of service, or advertising policies.
• Generate content impersonating a real person without their consent, or that misrepresents your identity or affiliation.
• Generate content that infringes intellectual-property rights (including copyrighted characters, trademarks, logos, or likenesses you do not have the right to use).
• Generate medical, legal, financial, or similarly regulated advice presented as authoritative guidance without the disclaimers and qualifications your jurisdiction requires.
• Attempt to reverse engineer, decompile, or disassemble the Service or its underlying AI providers.
• Use the Service to generate spam, unsolicited content at scale, deceptive advertising, or synthetic content that impersonates news reporting.

We may suspend or terminate your account, and decline to generate, for any content that we reasonably believe violates this section or Polar's Acceptable Use Policy.

If you use your own API keys (Bring Your Own Keys mode):

• You are responsible for compliance with each provider's terms of service (Anthropic, Recraft, Runway, ElevenLabs, Shotstack).
• Reelry stores your keys using encryption at rest and only uses them to make API calls on your behalf.
• Reelry is not responsible for charges incurred on your third-party API accounts.
• You may revoke your keys at any time from the Brand Settings page.

Reelry is provided “as is” without warranties of any kind, either express or implied. To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
• Our total aggregate liability is limited to the amount you paid to Reelry (through Polar) in the 12 months preceding the claim.
• We do not guarantee uninterrupted or error-free operation of the Service.
• Payment-related disputes, including billing errors and chargebacks, are handled by Polar as the Merchant of Record. Health3 AG is not liable for payment processing issues managed by Polar.

• We may suspend or terminate your account for violations of these Terms with or without notice.
• You may delete your account at any time.
• Upon termination, your data will be permanently deleted within 30 days.
• Active subscriptions will be cancelled through Polar upon account termination. No further charges will be made.
• Sections 7, 10, and 12 survive termination of these Terms.

These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for any disputes arising out of or in connection with these Terms is Zurich, Switzerland, except where mandatory consumer protection laws of your country of residence provide otherwise. Consumers retain the right to bring proceedings in the courts of their country of residence where applicable law so provides.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
